Video Factory Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Definition of Terms

For the purposes of this Agreement, in addition to the capitalized terms defined elsewhere in this Agreement, the following terms shall have the following meanings:

• Agreement: means the Sign-Up Form and these User Terms (as updated from time to time);‍
• Sign-Up Form: means the online sign-up or registration form completed by the user which refers to these terms, and which may set out certain commercial terms such as the terms, fees, and features of the Service to be delivered to the user.
• Personal Data: means any information or data that alone or together with any other information relates to an identified or identifiable natural person ("data subject"), or data considered to be personal data under Privacy Laws. An identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.
• Privacy Laws: means any law, statute, directive, or regulation, including any and all legislative and/or regulatory amendments or successors thereto, regarding privacy, data protection, information security obligations, and/or the processing of Personal Data (including without limitation the General Data Protection Regulation 2016/679 on the protection of natural persons concerning the processing of personal data and on the free movement of such data as amended or superseded from time to time).
• Services: means the services offered by Video Factory and subscribed for by the user under the Master Agreement.
• Video Factory Platform means Video Factory’s online, web-based platform that allows Retailers to generate logos for their personal or business use.

3. Account Registration

You may be required to register for an account to access certain features of the Service. When registering, you must provide accurate and complete information. You are responsible for the activity that occurs on your account, and you must keep your account password secure.

4. Content Ownership and Rights

a. User-Generated Content: You retain all your ownership rights in your original content. By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Service.

b. Service Content: Except for your content, all content generated by the Service and other intellectual property rights associated with the Service are owned by us or our licensors.

5. Use of the Service

a. License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

b. Prohibited Activities: You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include:

• Engaging in unauthorized framing of or linking to the Service
• Transmitting chain letters or junk email
• Using any information obtained from the Service to harass, abuse, or harm another person
• Interfering with, disrupting, or creating an undue burden on the Service or the networks connected to the Service

6. Privacy

a. Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

7. Fees and Payment

The Service is offered as a subscription-based model. By subscribing to the Service, you agree to pay the subscription fee specified at the time of subscription. The subscription fee will be billed on a recurring basis in accordance with the terms of your subscription. We may change the subscription fee from time to time and will notify you in advance of such changes.

8. Limitation of Liability

To the fullest extent permitted by law, in no event will Video Factory, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

By using our Service, you acknowledge that you have read and understood these Terms and agree to be bound by them.

License Terms

Use Guidelines. User shall not: (i) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise exploit or make the Service available to any third party; (ii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; (iii) attempt to gain unauthorized access to the Service or its related systems or networks; or (iv) disclose any benchmarking or results of the Service to third parties without Video Factory’s prior written consent.

Restrictions. User shall not (and shall not allow any third party to): (a) modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service; (b)circumvent any user limits or other timing or use restrictions that are built into the Service; (c)remove any proprietary notices, labels, or marks from the Service; (d) frame or mirror any content forming part of the Service; or (e) access the Service to (i) build a competitive product or service, or (ii) copy any ideas, features, functions or graphics of the service.

Service Changes by Video Factory: Video Factory reserves the right to alter, suspend, or discontinue the Service or the Platform at any time and for any reason or no reason without any liability to the user. In such cases, Video Factory will endeavor to give notice of such changes. The service may also be unavailable from time to time due to maintenance or malfunction of the computer or network equipment or other reasons. Video Factory may periodically add or update the information and materials on the Video Factory platform without notice.
